Bending Spoons, the Italian app company behind Vimeo, WeTransfer and Eventbrite, is planning to go public on the U.S. stock market.
Who is Bending Spoons?
Founded in 2013 in Denmark, Bending Spoons S.p.A. now operates out of Milan. Its business model centers on acquiring digital software and internet brands. Current holdings include Vimeo, WeTransfer, AOL and Eventbrite.
The company has a well-documented pattern of cutting staff after acquisitions. Following its purchase of Vimeo, Bending Spoons laid off the majority of employees, including the entire video team.
What has been announced?
Bending Spoons has filed with the Securities and Exchange Commission to list on the Nasdaq Global Select Market. An IPO — Initial Public Offering — is when a private company sells shares to the public for the first time. Reuters reported the company is targeting $20 billion from the offering. Goldman Sachs, JPMorgan, Allen & Co., Bank of America, BNP Paribas and Jefferies are all signed on to assist.
Subscriptions
The company reported $1.31 billion in revenue for 2025. Q1 2026 brought in $601 million, a 132% increase over the same period last year, with profits of $27.4 million. Subscriptions account for 84% of total revenue.
What we think
Bending Spoons has a consistent playbook: buy struggling businesses, cut costs aggressively and rework subscription pricing to drive revenue. That formula has produced strong financials, but it hasn’t won many fans. Vimeo subscribers have been vocal about changes made since the acquisition.
Going public adds a new layer of pressure. Keeping shareholders happy could push the company toward even more aggressive monetization of the brands it owns. The customers of those platforms may feel that most directly.
