Registered logos in shots. Fair Use???

I’m editing a training video for a company I work for and the logo of another company is in several shots. The video is for internal purposes and is not intended for public exhibition. Changing the video is almost out of the question since it’s in the process of being replicated.
Could we be sued for distributing this video to our franchises? Is this fair use?
A little more back story. I originally thought the logos being in the background was public domain, but one of my directors suggested we get express written consent to use the video. I contacted the company, sent them a copy of the video, and they refused to allow us to use it unless we made some kind of partnership with them.
Would appreciate any input.
